Abivax gibt Abschluss seines Börsenganges am Nasdaq Global Market bekannt
PARIS, Frankreich, 24. Oktober 2023 - 22:05 Uhr (MESZ) - Abivax SA (Euronext
Paris: FR0012333284 - ABVX) ("Abivax" oder das "Unternehmen"), ein
Biotechnologieunternehmen mit Programmen im Stadium der klinischen
Entwicklung, das seinen Fokus auf Therapeutika legt, die die natürlichen,
körpereigenen Regulationsmechanismen nutzen, um die Immunreaktion bei
Patienten mit chronischen Entzündungskrankheiten zu modulieren, gab heute
den Abschluss seines Börsenganges am Nasdaq Global Market bekannt. Im Rahmen
eines Global Offering wurden insgesamt 20.325.500 neue Stammaktien in Form
eines öffentlichen Angebots von 18.699.460 Stammaktien als American
Depositary Shares ("ADS"), die jeweils das Recht zum Erhalt einer Stammaktie
verbriefen, in den Vereinigten Staaten (das "US-Offering") und gleichzeitig
als Angebot von 1.626.040 Stammaktien in bestimmten Jurisdiktionen außerhalb
der Vereinigten Staaten an bestimmte Investoren (die "europäische
Privatplatzierung", zusammen mit dem US-Offering das "Global Offering")
ausgegeben.
Der Angebotspreis wurde auf 11,60 US-Dollar pro ADS im Rahmen des
US-Angebots und auf 10,9864 EUR pro Stammaktie im Rahmen der europäischen
Privatplatzierung festgelegt. Der gesamte Bruttoerlös belief sich vor Abzug
der Zeichnungsprovisionen und der geschätzten Ausgaben des Unternehmens auf
ca. 235,8 Mio. US-Dollar (ca. 223,3 Mio. EUR). Alle ADSs und Stammaktien im
Rahmen des Global Offering wurden von Abivax angeboten.
Die Stammaktien von Abivax sind an der Euronext Paris unter dem Symbol
"ABVX" und die ADS am Nasdaq Global Market unter dem Symbol "ABVX" notiert.
Die ADS wurden am 20. Oktober 2023 in den Handel am Nasdaq Global Market
aufgenommen.
Morgan Stanley und Leerink Partners agierten als gemeinsame globale
Koordinatoren für das Global Offering und als gemeinsame Bookrunner für das
U.S.-Offering. LifeSci Capital agierte als Lead Manager für das
U.S.-Offering. Bryan, Garnier & Co fungierte als Lead Manager für die
europäische Privatplatzierung (zusammen die "Konsortialbanken").
Namsen Capital fungierte als Kapitalmarktberater von Abivax.
Eine Registrierungserklärung zu den im Rahmen des Global Offering
angebotenen Wertpapieren wurde bei der U.S.-amerikanischen Börsenaufsicht,
der Securities and Exchange Commission ("SEC"), eingereicht und von dieser
am 19. Oktober 2023 für wirksam erklärt. Das Global Offering wurde nur
